Master Service Agreement & Terms

These Terms and Conditions govern the relationship between Cyberexpert Web Design (hereinafter "the Agency") and the Client. By engaging our services, you agree to these globally-standardized legal provisions.

1. Scope of Work & "Scope Creep"

The Agency will provide services as defined in the specific Statement of Work (SOW) or Proposal. Any requests outside this scope will be treated as a "Change Request" and billed at our standard hourly rate of [Insert Rate] or via a separate quote.

2. Third-Party Platform Dependencies

For Meta Business API, WhatsApp, or CRM integrations:

• The Agency is not liable for changes in third-party API policies, pricing, or service outages (e.g., Meta, Google, AWS).
• Clients must maintain their own accounts and adhere to the Acceptable Use Policies of these platforms.
• The Agency does not guarantee "Green Tick" verification, as this is solely at Meta's discretion.

3. Intellectual Property & Ownership

• Retained Rights: The Agency retains ownership of "Pre-existing Code," frameworks, and generic snippets used across multiple projects.
• License: The Client is granted a perpetual, non-exclusive license to use such retained code within the scope of the project.

4. Content Responsibility & AI Tools

The Client warrants they own the rights to all text, images, and data provided. If AI-generated content or code is requested, the Client acknowledges the evolving legal landscape regarding AI copyright and accepts the results "as-is."

5. Acceptance & "Sign-Off"

Upon delivery of a milestone, the Client has 7 business days to conduct User Acceptance Testing (UAT). If no feedback is received within this window, the work is deemed "Accepted" and the milestone payment becomes due.

6. Financial Terms

• Deposits: All project deposits are non-refundable as they reserve production capacity.
• Late Payments: Invoices unpaid after 14 days accrue interest at a rate of 2% per month.
• Suspension: The Agency reserves the right to suspend hosting or API services if payments are 30 days overdue.

7. Limitation of Liability & Indemnity

To the maximum extent permitted by law, the Agency’s total liability for any claim shall not exceed the total amount paid by the Client for the specific service in question. The Client agrees to indemnify the Agency against any legal action arising from the Client's business operations.

8. Termination

Either party may terminate the agreement with 30 days' written notice. Upon termination, the Client shall pay for all work completed up to the termination date.
